Agreement
- Computer Leasing Limited (CLNZ) agrees to sell and the Customer agrees to buy the goods ordered through CLNZ.
Acceptance
- By placing the order for goods through CLNZ you are deemed to accept the terms and conditions of sale.
Price
- The purchase price is for goods supplied and packed, and is exclusive of installation and maintenance.
- Purchase prices are given in New Zealand dollars.
Risk and delivery
- You are responsible for insurance and risk in the Products from the time they are delivered to you or your nominated agent. Where you have assumed responsibility for carriage then responsibility falls to you when the Products are collected by you or your nominated agent.
- You agree to pay all delivery costs.
- All claims for shortage or damage during delivery must be made to the carrier within 7 days of the date of delivery. Where goods appear to be damaged or missing you must contact the carrier and CLNZ immediately.
- CLNZ will make every effort to ensure delivery of Products, or performance of services, is on time, but will not be liable to you for any loss or damage arising in any way from any delay in delivery or performance. Delay in delivery or performance shall not entitle you to cancel any order.
- Unless otherwise stated in writing, all Products will be box shipped and it is your responsibility to assemble, configure and install them.
- Where you ask CLNZ to deliver goods directly to another person, that person takes possession of the goods for you as your agent, but you are still directly responsible to CLNZ under these terms of trade.
- All delvieries are signature required, Monday to Friday via overnight courier.
General
- CLNZ reserves the right to change these terms of trade from time to time.
- If CLNZ fails to enforce any terms or to exercise its rights under these terms of trade at any time, CLNZ has not waived those rights.
- If any provision of these terms of trade is held to be invalid or unenforceable for any reason, the remaining provisions shall remain in full force and effect and the parties shall adjust their respective rights and obligations in accordance with the spirit and intent of the parties as shown by these terms of trade.
- This agreement is governed by the laws of New Zealand and any dispute under it shall be subject to the exclusive jurisdiction of the Courts of New Zealand.
- In these conditions, "Software" includes all relevant documentation, manuals, printed and written matter; "Supplier" means CLNZ's suppliers; "Products" means computer hardware, peripherals, accessories, Software and other goods of any kind which are supplied by CLNZ to you; "Website" means any internet website owned and operated by CLNZ.
- Where you purchase any Products presented on the Website or otherwise use the Website, the Website trading terms shall apply. In the event of any conflict between these terms of trade and the Website trading terms, these terms of trade shall prevail. Where you acquire goods or services supplied by other parties through the Website or through links on the Website, you do so on the condition that CLNZ is not liable to you in any way for those goods or services.
Indemnity
- You hereby indemnify and will keep us indemnified against all obligations and liabilities incurred by an act or omission by you in relation to this agreement.
Other agreements
- These terms apply to all transactions where we supply goods to you.
- This agreement supersedes the terms of all prior agreements, understandings, representations or warranties previously given by us or any agent of CLNZ in respect of goods.
- If there is any inconsistency between these terms and any order submitted by you or any other arrangement with us, these terms prevail unless otherwise agreed by us in writing.
- If at any time any provision of this agreement becomes illegal, invalid or unenforceable neither the legal validity nor enforceability of the remaining provisions shall in any way be affected or impaired.
Waiver
- If we exercise or fail to exercise any right or remedy available to us, this shall not prejudice our rights in exercising that or any other right or remedy. Waiver of any term of the contract must be specified in writing by us and signed by an authorised person.
